Confluent: Why Did Shareholders Agree to IBM's $11 Billion Buyout?

Tips E-57: A 1-minute summary of my fundamental analysis of Confluent Inc.

Confluent: Why Did Shareholders Agree to IBM's $11 Billion Buyout?

Investment Thesis

Confluent operates in a fast-growing technology market, but its journey toward profitability remains unfinished despite strong revenue momentum. IBM's USD 11 billion acquisition offer raises an interesting investment question: why sell a promising business before its growth potential is fully realised? The answer depends on Confluent's business economics, future profitability and valuation.

Main Business

Confluent provides real-time data streaming infrastructure that enables businesses to process information immediately rather than after events occur. Its technology supports applications such as fraud detection, digital transactions and AI systems.

Growth

Revenue reached USD 1.17 billion in 2025, following approximately 23% annual growth over the preceding two years. Increasing adoption of event-driven applications and AI-enabled systems provides further opportunities.

Profitability

Confluent remains unprofitable, but improving gross margins and declining fixed cost ratios suggest a credible path toward breakeven. The company is expected to reach breakeven in 2027.

Financial Strength

Despite continuing accounting losses, Confluent's substantial liquidity and improving operating cash flows provide considerable financial flexibility for future growth. At December 2025, cash and short-term investments represented 69% of assets.

Peer Performance

Confluent's revenue growth compares reasonably with peers, but its profitability and capital efficiency remain among the weakest in the group. Its performance reflects a growth-stage business yet to demonstrate sustainable profitability.

Valuation

Even under optimistic growth and margin assumptions, Confluent’s intrinsic value is below the current market price and IBM' offer price.
